LEGATIO ESCROW CONTINUITY POLICY
What Happens to Your Documents if Legatio Shuts Down
Trayambic LLP | LLPIN: ACW-5820
Effective: From Commercial Launch Date
Contact: BUSINESS@LEGATIOINFO.COM
1Our Commitment to Data Protection
Legatio is committed to protecting your documents. If Legatio ever needs to shut down, we will notify you in advance, provide a mechanism for you to recover your documents, and then permanently delete them from our systems. This Escrow Continuity Policy explains the process.
2When This Policy Applies
This policy applies if any of the following occurs:
Legatio voluntarily closes the platform
Legatio is acquired or merged with another company that does not commit to protecting your data
A regulator orders Legatio to shut down
3Notice & Download Window
When we know we must shut down, we will notify you immediately via email, SMS/WhatsApp, and your Legatio dashboard. You will have a full 120 calendar days to download all your documents and data. During this 120-day period:
You will receive an export package containing your documents
You may download this package as many times as needed
You have full access to your Legatio account to retrieve any documents
Support will be available via BUSINESS@LEGATIOINFO.COM
4What You Will Receive in Your Export Package
During the 120-day notice period, you will be able to download:
An encrypted ZIP file with every document you have stored (encryption key provided separately for security)
Readable PDF copies of each executed document showing who signed, when, and from where
A Chain of Custody Certificate confirming all documents are intact and unmodified
Documentation of all execution timestamps, IP addresses, and signature verification details All documents will be provided in a format accessible without Legatio systems. You may download your complete export package multiple times during the 120-day window.
5Data Security During Shutdown
Throughout the shutdown process, your documents remain protected by our standard security measures:
Military-grade encryption (AES-256) at rest and in transit
Redundant backup copies on separate, geographically distinct infrastructure within India
A dedicated internal team responsible for data integrity and export package preparation
These teams work independently of business operations to ensure continuity
6Data Deletion After Shutdown
Once you have downloaded your Export Package (or after the 120-day notice period expires, whichever is later), Legatio will permanently delete all your data from our systems within 30 days. After deletion, you will be the only party holding your documents. This complies with India's Digital Personal Data Protection Act, 2023.
IMPORTANT FOR EXISTING CLIENTS: If you have documents with remaining entitlements under your 8-year retention period at the time of shutdown, you will be able to access and download those documents throughout the full 120-day notice period. You are not limited by earlier expiry. Your remaining retention entitlement is protected.
7Data Continuity Fund
Legatio has pre-committed AWS infrastructure payments covering the full 8-year retention period. This means your documents remain hosted and accessible on AWS Mumbai region servers for the complete duration of your retention entitlement, regardless of Legatio’s operational status. The 8-year AWS commitment is funded in advance and is not contingent on Legatio’s ongoing revenue or business continuity. Customers may request verification of this infrastructure commitment by contacting BUSINESS@LEGATIOINFO.COM.
8Regular 8-Year Document Retention
Legatio keeps all executed documents for 8 years from the date you signed them, at no additional cost. This 8-year retention is automatic and requires no action from you. Because Legatio has pre-committed and pre-funded AWS infrastructure for the full 8-year term, your documents remain stored and accessible on AWS Mumbai region servers for the entire retention period even in the event of a business shutdown. If Legatio ceases operations, the Escrow Continuity Policy governs your access and export rights, but the underlying AWS infrastructure hosting your encrypted documents remains funded and operational for the duration of your retention entitlement. Your 8-year period does not reset or extend due to a shutdown.
9Acquisition or Merger
If another company acquires or merges with Legatio, you will have the following options:
The acquiring company signs a written commitment to comply with this policy and continue serving your account
OR you may request your data export (triggering the process in Sections 3-6) You will be notified of any acquisition or merger via email and your Legatio dashboard. You will have 30 days to choose your option. If you do not choose, Legatio and the acquiring company will use commercially reasonable efforts to provide you with data export.
10Legal Validity of Documents Executed on Legatio
Documents drafted, signed, and stored through Legatio’s platform are legally valid under Indian law. Legatio’s eSign infrastructure complies with the Information Technology Act, 2000 and the rules and regulations framed thereunder. Specifically:
