Rent Agreements in India: The 11-Month Rule, When Registration Is Compulsory, and How to Execute One Online

Why Indian rent agreements run for 11 months, when registration is compulsory anyway, how stamp duty and e-stamping work, and how to execute a rent agreement online with a valid e-signature.

Almost every Indian rent agreement is written for 11 months. Most people know it is "to avoid registration" and few know why, or that in Maharashtra registration is compulsory regardless of term. This guide explains the rule, the exceptions, the stamp duty step, and how to sign a rent agreement online so that it holds up. It is written for landlords, tenants and the property managers and companies that handle dozens of them. Position as of October 2026.

Why 11 months

Section 17(1)(d) of the Registration Act, 1908 makes registration compulsory for "leases of immovable property from year to year, or for any term exceeding one year, or reserving a yearly rent". Section 107 of the Transfer of Property Act, 1882 says such leases "can be made only by a registered instrument", while all other leases may be made by a registered instrument "or by oral agreement accompanied by delivery of possession". An 11-month term stays below the one-year line, so central law does not require registration. Section 49 of the Registration Act then matters: a document that should have been registered but was not cannot affect the immovable property or be received as evidence of the transaction, except for limited purposes.

Maharashtra is different

Section 55 of the Maharashtra Rent Control Act, 1999 provides that any agreement for leave and licence or letting of premises "shall be in writing and shall be registered under the Registration Act, 1908", that the landlord is responsible for registration, that without a registered agreement the tenant's version of the terms prevails "unless proved otherwise", and that a landlord who contravenes the section is punishable with imprisonment up to three months or a fine up to Rs 5,000 or both. So in Mumbai, Pune and the rest of Maharashtra, an 11-month leave and licence agreement must still be registered. Other states have their own rent legislation; check whether yours imposes a similar requirement. ****

Stamp duty comes first

Whether or not the agreement is registered, it is a chargeable instrument under the state stamp law. Section 17 of the Indian Stamp Act, 1899 (and the state equivalents) requires stamping before or at execution; section 35 makes an unstamped instrument inadmissible in evidence until duty and penalty are paid. Rates and the method of computation (on rent, deposit and term) vary by state. In most states an e-stamp certificate can be generated through the state's system (SHCIL e-stamp in several states, GRAS in Maharashtra, e-GRAS in Haryana) and attached to the agreement before signature.

Executing a rent agreement online

A rent agreement is not among the documents excluded from the IT Act, 2000 by its First Schedule, so it can be an electronic record signed with an electronic signature. The working sequence:

  1. Finalise the draft: parties, premises, term (start and end dates), rent, deposit and refund terms, escalation, notice period, maintenance, permitted use, lock-in, and who registers.
  2. Generate the e-stamp certificate for the state where the premises are, and attach it as the first page.
  3. Both parties sign with Aadhaar eSign or a Digital Signature Certificate (section 3A or section 3 of the IT Act; recognised under section 5). Witnesses can sign the same way.
  4. Keep the signed file with its audit trail (hash, identity events, timestamps); it is proved in court under section 63 of the Bharatiya Sakshya Adhiniyam, 2023.
  5. Where registration is required (term over a year, or Maharashtra), complete it through the sub-registrar's process, which in Maharashtra can be done online for leave and licence agreements. ****

Clauses that prevent most disputes

  • Deposit: amount, refund timeline after handover, and permitted deductions.
  • Escalation and renewal: a fixed percentage at renewal and who gives notice by when.
  • Lock-in: period during which neither side can exit without paying the balance.
  • Notice: equal notice both ways, in writing.
  • Repairs: who pays for what.
  • Use: residential or commercial; no sub-letting without consent.

For companies that manage many agreements

Property managers, co-living operators and companies leasing offices across states face the same problem as any high-volume contracting team: different stamp regimes, different registration rules, renewal dates that pass unnoticed. Treat each agreement as a record with a stamp certificate, a signature audit trail, a registration status and a renewal date, and run a monthly report of expiries.

Where Legatio fits. Legatio executes rent and leave and licence agreements with Aadhaar eSign or DSC, attaches the e-stamp certificate before dispatch, stores the audit trail, and tracks renewals and registration tasks per agreement. Stamp rates and registration rules are set by the state.
