Is a Memorandum of Understanding Legally Binding in India? It Depends on the Words, Not the Title
An MoU is binding or not depending on what it says and how the parties behave, not on its title. How Indian courts read MoUs, the clauses that should bind even in a non-binding MoU, and a structure that avoids the "we thought it was just an MoU" dispute.
Indian businesses sign MoUs to start collaborations, joint ventures, supply relationships and institutional partnerships, often on the assumption that an MoU "is not binding". Courts do not read the title; they read the terms. An MoU that contains definite obligations, consideration and an intention to be bound is a contract under section 10 of the Indian Contract Act, 1872 whatever it is called. This guide explains how to draft one so that everyone knows which parts bind. Position as of October 2026.
How courts read an MoU
The question is intention to create legal relations, judged from the document and conduct. Signs that an MoU binds:
- Definite obligations ("A shall supply", "B shall pay") rather than statements of intent ("the parties intend to explore").
- Consideration flowing both ways.
- Performance having started under it.
- No "subject to contract" or "non-binding" language.
Signs that it does not:
- An express statement that it is non-binding except for listed clauses.
- Essential terms left open for a "definitive agreement".
- Language of intention and good faith rather than obligation.
Section 29 of the Contract Act voids agreements whose meaning is "not certain, or capable of being made certain", so an MoU with vague commercial terms may fail as a contract for uncertainty even if the parties meant to be bound.
The clauses that should bind even in a non-binding MoU
Most MoUs should be non-binding on the commercial deal and binding on the housekeeping. Make these expressly binding:
- Confidentiality of information exchanged during discussions.
- Exclusivity or standstill, if agreed, for a defined period (in-term exclusivity is generally enforceable; a restraint after the MoU ends runs into section 27).
- Costs: each party bears its own unless stated.
- Intellectual property: no licence or transfer by the MoU; ownership of anything created during discussions.
- Data: if personal data is shared, roles and processing terms under section 8(2) of the DPDP Act, 2023 (from 13 May 2027).
- Governing law and disputes.
- Term and termination of the MoU itself.
A structure that avoids the dispute
- Title and parties.
- Purpose: one paragraph on what the parties intend to explore.
- Non-binding statement: "Except for clauses 6 to 11, this MoU records the parties' intentions and does not create legally binding obligations. The parties intend to enter into a definitive agreement."
- Commercial outline: the deal as currently envisaged, expressly non-binding.
- Next steps and timeline: who does what by when, non-binding but useful.
- to 11. Binding clauses: confidentiality, exclusivity, costs, IP, data, governing law and disputes, term.
- Execution: signatures, place of execution.
Stamp duty and execution
An MoU is an instrument; whether it attracts stamp duty depends on the state schedule and on whether it contains obligations of a kind the schedule charges (an MoU that is really an agreement to sell or a lease is charged as such). Stamp before or at execution where chargeable (section 17, Indian Stamp Act, 1899). MoUs are not excluded by the IT Act's First Schedule and can be e-signed under sections 5 and 10A.
MoUs with institutions and government bodies
Universities, hospitals and public bodies sign MoUs that often contain real obligations (funding, access to facilities, data sharing). The same rules apply: identify the binding clauses, name a coordinator on each side, and set a term and renewal date, then track it. An MoU with no end date and no owner is the one that causes trouble three years later.
Where Legatio fits. Legatio holds an MoU template with the binding and non-binding sections separated, executes it electronically, and tracks the term, renewal and the definitive-agreement deadline. Whether a clause should bind is a decision for the parties and their advisers.
