Joint Venture Agreements in India: Contractual vs Equity JVs, the Clauses That Matter, and What to Track After Closing

A joint venture in India is either a contract or a company, and the choice drives everything from tax to exit. The clauses a JV agreement needs, the Indian rules that apply (Companies Act, competition law, FEMA for foreign partners), and the obligations to track once the venture is live.

Two companies decide to build something together: a manufacturing line, a distribution network, a product for a new market. The first decision is whether the venture is a contract between them or a company they both own; the second is how they will get out. Most JV disputes come from skipping the second. This guide covers the structures, the clauses and the post-closing obligations for Indian JVs. Position as of October 2026.

Contractual or equity

Contractual JV. A cooperation or consortium agreement; no new entity; each party performs its part, shares revenue or profit as agreed, and keeps its own liability unless the agreement creates joint liability. Simpler and faster; weaker for long-term ventures with shared assets. Watch the risk of being treated as a partnership under the Indian Partnership Act, 1932 (mutual agency, sharing of profits), which brings joint liability and section 69's registration bar; state expressly that no partnership is intended.

Equity JV. A company (or LLP) owned by the parties under a joint venture and shareholders' agreement, with its articles conformed. Separate legal personality, limited liability, a vehicle that can borrow, employ and contract. More formalities, clearer governance.

Foreign partners. Investment by a non-resident partner is governed by the foreign exchange rules under FEMA, including sectoral caps, pricing guidelines for share issues and transfers, and reporting; approval is required for investments from certain countries. Build the FEMA steps into the closing timetable. ****

The clauses that matter

Execution

JV agreements are chargeable instruments; stamp before execution (section 17, Indian Stamp Act, 1899). For an equity JV, the closing pack includes the JV agreement, articles amendment (special resolution under section 14 of the Companies Act, 2013), share subscription documents, IP licences and any FEMA filings. All can be e-signed except First Schedule documents (a private power of attorney in the pack must be on paper). Keep the executed pack, stamp certificates and audit trails together.

What to track after closing

  • Contribution deadlines and defaults.
  • Budget and business-plan approval cycles.
  • Reserved-matter consents before decisions.
  • Information-rights reporting dates.
  • IP licence terms and royalty reports.
  • Lock-in expiry; ROFR notice windows.
  • Regulatory filings (FEMA reporting, competition undertakings).
  • Non-compete scope reviews when either parent's business changes.

An equity JV is a company with its own compliance calendar (board meetings under section 173, annual filings) on top of the JV agreement's obligations; assign a company secretary from day one.

Where Legatio fits. Legatio executes the closing pack with audit trails and per-instrument stamping, flags First Schedule documents for paper, and holds the JV agreement's reserved matters, contribution deadlines and notice windows as a register with alerts.
