How to Evaluate CLM Software in India: Criteria, Scorecard and the Questions Vendors Hope You Skip
Rather than another self-ranked list, a weighted evaluation method for contract lifecycle management software built for Indian businesses: the India-specific criteria, a scorecard, implementation-time questions and the data-residency and DPDP points to settle before signing.
Lists of the "best CLM software in India" are written by one of the vendors on the list. This guide gives you a method instead: ten criteria that reflect Indian legal and operational requirements, a weighting you can adjust, and the questions that reveal whether a platform will work for a mid-market Indian company rather than a Fortune 500 legal department. Position as of October 2026.
Ten criteria
- Lifecycle coverage (weight 15). Intake forms, templates and clause library, approval routing, negotiation and redlining, execution, obligation tracking, renewals, repository and reporting. Score against the stages you will actually use in year one.
- Indian execution (weight 15). DSC and Aadhaar eSign through CCA-licensed providers; e-stamping integration by state; First Schedule template flags; registration task support. A platform built for US e-signature alone scores low here.
- Evidence (weight 10). Audit trail per signer, document hash, and the ability to issue a Bharatiya Sakshya Adhiniyam section 63 certificate on request.
- Data protection and residency (weight 15). Processing contract under section 8(2) of the DPDP Act, 2023 with rule 6 safeguards; breach-notification timeline supporting the 72-hour report under rule 7 (from 13 May 2027); Indian hosting option, mandatory for regulated entities under RBI's 2025 outsourcing Directions where applicable; CERT-In compliance.
- Indian compliance data (weight 10). Fields and alerts for MSE status and the 45-day MSMED payment rule, the 180-day GST input-credit rule, renewal and notice windows, and sector obligations (RBI/IRDAI/SEBI clause requirements for regulated buyers).
- Integrations (weight 10). CRM, ERP (including Indian accounting systems), HRMS, e-invoicing where relevant; productised connectors versus custom builds.
- Usability for non-lawyers (weight 10). Can sales, HR and procurement raise requests and track status without training beyond an hour? Mid-market adoption fails on this criterion more than any other.
- Implementation effort (weight 5). Realistic timeline for templates, workflows, migration and training; who does the work; what is included.
- Commercial terms (weight 5). Pricing unit, what a user is, escalation, GST, exit and data export.
- Vendor standing and support (weight 5). Indian presence, references in your sector, support hours, roadmap transparency.

Implementation-time questions
- How many templates and workflows are in the standard implementation, and what does the eleventh cost?
- Who migrates legacy contracts, at what accuracy, and how is accuracy measured?
- What is the first-90-days plan, and which of your people does it need, for how many hours?
- When do we see our first contract go end-to-end on the platform?
Mid-market and SME lens
Enterprise CLM content assumes a legal department, a procurement function and an IT integration team. If you have one lawyer or none, weight usability and implementation effort higher, and ask the vendor for a reference customer of your size, not their largest logo. A platform that needs a six-month implementation is the wrong platform for a 200-person company.
A note on "best"
No platform is best for every buyer. A lender needs biometric eSign, Indian hosting and regulator-ready clause templates; a design agency needs fast NDAs and renewals. Run the scorecard with your weights, shortlist two, and pilot one contract type with each.
Where Legatio fits. Legatio is designed for criteria 2, 4 and 5 (Indian execution, residency and compliance data) and for criterion 7 (business users), and we will complete the scorecard in writing. Run us through it alongside the alternatives.
