Auto-Renewal Clauses and Contract Renewals: How Indian SMEs Lose Money Quietly, and the Process That Stops It
Auto-renewal clauses are where Indian SMEs lose money quietly: a SaaS tool renewed at a higher price, a vendor contract rolled over with terms nobody reviewed, a lease escalation applied without a check. How the clauses work, how to negotiate them, and a renewals process a small team can run.
The most expensive clause in most SME contracts is the one nobody reads at signing: "This agreement shall automatically renew for successive periods of twelve months unless either party gives written notice of non-renewal at least sixty days before the end of the then-current term." It is enforceable, it is common, and it moves money every year in the counterparty's favour unless someone is watching. This guide explains the clause, how to negotiate it, and a renewals process that works with a two-person team. Position as of October 2026.
How the clause works
An auto-renewal (evergreen) clause extends the contract without a new signature. The variables are the renewal period, the notice window (the deadline before expiry by which notice must be given), the notice method (written, to a specified address), and what happens to price on renewal (fixed, indexed, or "then-current list price"). Miss the window and you are bound for another term at whatever the price clause allows.
Indian law enforces these clauses as ordinary contract terms under section 10 of the Indian Contract Act, 1872. For consumer contracts, the Consumer Protection Act, 2019 gives regulators and forums power over unfair contract terms, but business-to-business agreements are held to their words.
Negotiating the clause
On the buy side:
- Prefer no auto-renewal for anything you might switch; require an affirmative renewal.
- If auto-renewal stays, shorten the notice window (30 days), allow email notice to a named address, and cap the renewal price (no more than a stated percentage or an index).
- Require the vendor to send a renewal reminder at least 60 days before the window closes; make the renewal conditional on it.
On the sell side, the mirror image: longer windows and list-price renewals favour you, but reminders build trust and reduce disputes.
The Indian specifics that attach to renewals
- Stamp duty on renewal. If the renewal creates a new term under an instrument that was charged by term (leases, leave and licence), fresh duty may be payable; an auto-renewal that extends a lease may need a registered instrument if the total term exceeds one year (section 17(1)(d), Registration Act, 1908). ****
- Escalation and GST. A price revision on renewal changes the taxable value; invoices must reflect it from the renewal date.
- MSE suppliers. Renewed payment terms with a micro or small enterprise still cannot exceed 45 days from acceptance (section 15, MSMED Act, 2006).
- Data processing. A renewal is the moment to add DPDP processor terms (section 8(2), DPDP Act, 2023) to a vendor contract signed before the Rules, ahead of 13 May 2027.
A renewals process for a small team
- Register every contract's expiry, renewal type, notice window and price mechanism at signature. Four fields.
- Alert at notice-window minus 45 days to the contract owner and a backup: "decide renew / renegotiate / exit".
- Decision recorded by the owner within 15 days, with the reason.
- Action: notice of non-renewal sent by the specified method and acknowledged; or renegotiation opened; or renewal confirmed and price checked against the clause.
- Register updated with the new term and the next window.
- Monthly report: contracts expiring in the next 180 days; renewals with no decision; renewals where price rose more than the cap.
Worked example
A company has 60 live contracts: 25 SaaS tools, 20 vendors, 10 leases and licences, 5 customer agreements. Running the register shows 14 SaaS tools auto-renewing in the next 180 days, 4 of them at "then-current list price". The owner of each gets an alert at day 105 before expiry; 3 are cancelled, 6 renegotiated to a capped increase, 5 renewed. The leases show two escalations due; finance checks the landlord's invoices against the 5% clause. None of this needs a lawyer; it needs the four fields and the alert.
Where Legatio fits. Legatio captures the four renewal fields at signature, sends the alerts to owners, records the decision and generates the expiry report, so renewals become a routine rather than a surprise. The negotiating positions are yours.
